End User Licence Agreement

1. About Agri Funda

Agri Funda is a digital agricultural community and intelligence platform operated by WeCommerce Pty Ltd, a company registered in South Africa. Agri Funda connects farmers, agricultural professionals, buyers, service providers, learners, young farmers and other participants in the agricultural sector through community features, expert networks, AI-supported tools, market information, study groups, knowledge sharing and related services.

This End User Licence Agreement ("Agreement" or "EULA") governs your use of the Agri Funda platform, including the mobile application, web-based platform, community features, groups, messaging tools, AI assistant, market tools, dashboards and all related services provided by WeCommerce Pty Ltd ("we", "us" or "our").

This Agreement applies to all users of Agri Funda, including but not limited to:

• farmers and farm owners;
• farm managers and employees;
• agricultural advisors, experts, consultants and mentors;
• buyers, traders, aggregators and market-access stakeholders;
• agricultural students, young farmers, learners and youth programme participants;
• service providers and suppliers to the agricultural sector;
• researchers, educators and agricultural organisations;
• community moderators and group administrators;
• any other person who creates an account or uses any feature of Agri Funda.

2. Acceptance of This Agreement

By registering for an account on Agri Funda, you confirm that you:

• have read and understood this Agreement;
• agree to be legally bound by this Agreement;
• agree to our Privacy Policy, which forms part of this Agreement;
• are 18 years of age or older, or are a minor using Agri Funda with the consent and supervision of a parent, guardian or authorised programme organiser;
• have the legal capacity to enter into a binding agreement;
• will use Agri Funda only for lawful purposes and in accordance with this Agreement.

If you are registering on behalf of an organisation, employer, farm, business or programme, you confirm that you have the authority to bind that organisation to this Agreement.

We may update this Agreement from time to time. Where changes are material, we will notify you by email, platform notification or other reasonable means. Continued use of Agri Funda after changes are published means you accept the updated Agreement.

3. Licence Grant

Subject to your compliance with this Agreement, WeCommerce Pty Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to:

• download and install the Agri Funda mobile application on devices you own or control, where the application is made available through an authorised app store;
• access and use the Agri Funda web-based platform through a supported browser;
• use the features and services of Agri Funda for personal, professional or business purposes connected to the agricultural sector, in accordance with this Agreement.

This licence does not permit you to:

• copy, modify, adapt, translate or create derivative works of Agri Funda or its content;
• reverse engineer, decompile, disassemble or attempt to extract the source code of Agri Funda;
• sublicense, sell, resell, transfer, assign or commercially exploit Agri Funda or your access to it;
• use Agri Funda to build a competing product or service;
• use automated tools, bots, scrapers or scripts to access, extract or collect data from Agri Funda without our written permission;
• remove, obscure or alter any proprietary notices, logos or branding in Agri Funda.

WeCommerce Pty Ltd reserves all rights not expressly granted in this Agreement.

4. Accounts and Registration

To use most features of Agri Funda, you must create an account. When registering you agree to:

• provide accurate, current and complete information;
• keep your account information up to date;
• keep your login credentials confidential;
• not share your account with any other person;
• notify us immediately at info@wecommerce.net.za if you suspect any unauthorised use of your account;
• accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false information, that are inactive for an extended period, or that are used in breach of this Agreement.

5. Community Standards and Zero-Tolerance Policy

Agri Funda is a professional agricultural community. All users must treat each other with respect and dignity. The following content and behaviour are strictly prohibited at all times:

5.1 Prohibited content

You must not post, share, upload, transmit or make available any content that:

• is hateful, discriminatory, racist, sexist, homophobic or targets any person or group based on race, ethnicity, nationality, gender, sexual orientation, religion, disability, age or any other protected characteristic;
• is sexually explicit, pornographic, obscene or indecent;
• constitutes harassment, bullying, intimidation, threats or stalking of any person;
• promotes, glorifies or incites violence, self-harm, terrorism or illegal activity;
• is defamatory, false, misleading or deceptive;
• infringes the intellectual property rights, privacy rights or other rights of any person;
• contains personal information about another person without their consent;
• constitutes spam, unsolicited commercial messages, phishing or fraudulent content;
• contains malware, viruses or any other harmful or disruptive code;
• is designed to manipulate, deceive or exploit other users;
• exploits or endangers minors in any way;
• promotes or facilitates illegal farming practices, illegal pesticide use, illegal animal treatment, poaching, illegal trade or any other unlawful activity;
• is otherwise objectionable, offensive or inappropriate for a professional agricultural community platform.

5.2 Prohibited conduct

You must not engage in conduct that:

• harasses, abuses, threatens or intimidates any other user, moderator, staff member or third party;
• repeatedly contacts another user after they have indicated they do not wish to be contacted;
• impersonates any person, organisation, official body or brand;
• misrepresents your identity, qualifications, credentials or affiliation;
• attempts to manipulate reviews, ratings, recommendations or community votes;
• disrupts, floods, overloads or interferes with the operation of Agri Funda;
• attempts to gain unauthorised access to any account, system or data;
• uses Agri Funda to collect personal information about other users without consent;
• circumvents or attempts to circumvent any content moderation, blocking, reporting or safety feature;
• creates multiple accounts to evade a ban or to manipulate the platform;
• engages in any conduct that we reasonably determine damages the Agri Funda community or the reputation of WeCommerce Pty Ltd.

5.3 Content standards for the agricultural community

All content posted on Agri Funda should be relevant, constructive and respectful. We encourage:

• sharing genuine agricultural knowledge, experience and advice;
• constructive discussions about farming practices, market access and agricultural development;
• respectful debate and the sharing of diverse agricultural perspectives;
• supporting fellow farmers, learners and agricultural professionals;
• accurate and honest representation of products, services and expertise.

6. Flagging Objectionable Content

Agri Funda provides users with a built-in mechanism to flag or report content that they believe violates this Agreement or is otherwise objectionable.

6.1 How to report content

To report objectionable content on Agri Funda:

• use the Report button or flag icon that appears on posts, comments, activity items, forum posts and other content within the platform;
• select the reason for your report from the options provided;
• add any additional details that will help us review the report;
• submit your report — it will be sent directly to WeCommerce Pty Ltd for review.

Alternatively, you may report content by contacting us directly at info@wecommerce.net.za or through our support page at https://wecommerce.net.za/contact.

6.2 What happens after you report

When a report is submitted:

• WeCommerce Pty Ltd is automatically notified of the report;
• we will review the reported content as soon as reasonably practicable;
• if we determine that the content violates this Agreement, we will remove or restrict the content and take appropriate action against the responsible user;
• we may contact you for further information if needed;
• we may refer serious matters to law enforcement authorities where appropriate.

We take all reports seriously. However, we cannot guarantee that every reported item will be removed or that action will be taken in every case. Abuse of the reporting function — including false or malicious reports — may itself result in account suspension.

6.3 Emergency or urgent safety concerns

If you believe there is an immediate risk of harm to yourself or another person, please contact emergency services first. You may also contact us urgently at info@wecommerce.net.za.

7. Blocking Abusive Users

Agri Funda provides a built-in mechanism for users to block other users who they find abusive, harassing or otherwise unwanted.

7.1 How to block a user

To block another user on Agri Funda:

• visit the profile of the user you wish to block;
• select the Block Member option from the profile menu or actions button;
• confirm the block when prompted.

7.2 What blocking does

When you block a user:

• their content is immediately and automatically removed from your feed — you will no longer see their posts, comments or activity;
• they will no longer be able to view your profile, send you messages or interact with your content;
• any existing messages between you will no longer be visible to either party;
• the block takes effect instantly, without any delay;
• WeCommerce Pty Ltd is automatically notified when a block is placed, so that patterns of abusive behaviour can be monitored and addressed;
• you can unblock a user at any time through your account settings.

7.3 Reporting alongside blocking

Blocking a user removes them from your experience on Agri Funda but does not automatically report them to WeCommerce Pty Ltd for a policy violation. If you believe a user has violated this Agreement, we strongly encourage you to also submit a report using the Report function described in clause 6, in addition to blocking them.

When we receive multiple block actions or reports against the same user, we will review that user's account and may take further action, including warning, suspension or permanent removal.

8. Content Moderation and Enforcement

WeCommerce Pty Ltd moderates Agri Funda to maintain a safe, respectful and constructive agricultural community. We reserve the right, but are not obligated, to:

• review, monitor and moderate content posted on Agri Funda;
• remove or restrict content that violates this Agreement, without prior notice;
• issue warnings to users who breach this Agreement;
• temporarily suspend accounts pending investigation;
• permanently ban users who repeatedly or seriously violate this Agreement;
• report illegal content or conduct to relevant law enforcement authorities;
• take any other action we reasonably consider necessary to protect the community, the platform or WeCommerce Pty Ltd.

Enforcement actions may be taken at our sole discretion, based on the nature and severity of the violation. We are not required to provide reasons for every moderation decision, although we will aim to communicate with affected users where appropriate.

If you believe your content was removed or your account was suspended in error, you may contact us at info@wecommerce.net.za to request a review. We will consider all requests in good faith but we are not obligated to reinstate content or accounts.

9. User Content

Agri Funda allows users to post, share and upload content including text, images, videos, documents, links and other materials ("User Content").

9.1 Ownership

You retain ownership of User Content that you create and post on Agri Funda. By posting User Content, you grant WeCommerce Pty Ltd a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, distribute, adapt and promote that User Content in connection with the operation and promotion of Agri Funda, for as long as the content remains on the platform.

9.2 Your responsibility for User Content

You are solely responsible for all User Content you post on Agri Funda. You confirm that:

• you own or have the right to post the User Content;
• posting the User Content does not violate any law or the rights of any third party;
• the User Content is accurate and not misleading;
• the User Content complies with this Agreement and our community standards.

WeCommerce Pty Ltd does not endorse and is not responsible for User Content posted by users. We are not liable for any loss or harm arising from User Content.

9.3 Removal of User Content

You may delete your own User Content at any time. WeCommerce Pty Ltd may also remove User Content that violates this Agreement. Backup copies may remain in secure storage for a limited period before being permanently deleted.

10. AI-Supported Features

Agri Funda may include AI-supported tools such as the AI Fundi assistant, knowledge search features, summaries and recommendations.

Users understand that:

• AI outputs are provided for general information and guidance purposes only;
• AI outputs may be incomplete, inaccurate or not suitable for all circumstances;
• AI should not replace professional advice from a veterinarian, agronomist, accountant, lawyer, certifier, auditor or other qualified expert;
• users remain responsible for verifying AI outputs before relying on them for business, compliance, veterinary, financial, legal or market-access decisions;
• WeCommerce Pty Ltd will not intentionally use confidential user submissions to train external AI models unless this is clearly disclosed and lawfully permitted.

11. Intellectual Property

All intellectual property rights in Agri Funda, including the platform, application, software, design, branding, logos, text, graphics, functionality and features, belong to WeCommerce Pty Ltd or its licensors. Nothing in this Agreement transfers any ownership of these rights to you.

The Agri Funda name, logo and all related marks are proprietary to WeCommerce Pty Ltd. You must not use these marks without our prior written permission.

If you believe that content on Agri Funda infringes your intellectual property rights, please contact us at info@wecommerce.net.za with the details of your claim.

12. Privacy

Your use of Agri Funda is also governed by our Privacy Policy, which explains how we collect, use, store and protect your personal information. Our Privacy Policy forms part of this Agreement.

By using Agri Funda, you agree to the collection and use of your information as described in the Privacy Policy.

13. Third-Party Services and Links

Agri Funda may contain links to third-party websites, tools, services, payment providers, market-data sources, communication tools, maps or partner platforms. WeCommerce Pty Ltd is not responsible for the content, privacy practices or availability of any third-party service.

Agri Funda may also be distributed through third-party app stores, including the Apple App Store and Google Play. Your use of those platforms is governed by the applicable app store terms and conditions, which you must also accept.

If you download Agri Funda from the Apple App Store, you acknowledge that:

• this Agreement is between you and WeCommerce Pty Ltd, not Apple Inc.;
• Apple has no obligation to provide maintenance or support for Agri Funda;
• Apple is not responsible for addressing any claims relating to Agri Funda;
• Apple is a third-party beneficiary of this Agreement with respect to the Apple-related terms and may enforce those terms against you.

14. Availability and Changes

WeCommerce Pty Ltd does not guarantee that Agri Funda will be available at all times or without interruption. We may:

• modify, update, suspend or discontinue any feature or service at any time;
• perform maintenance that temporarily limits access to Agri Funda;
• change subscription plans, pricing or feature availability with reasonable notice;
• update Agri Funda to address bugs, security vulnerabilities or changes in applicable laws.

We will aim to provide reasonable notice of material changes where possible.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Agri Funda and all related services are provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied.

WeCommerce Pty Ltd does not warrant that:

• Agri Funda will be uninterrupted, error-free or completely secure;
• information on Agri Funda is accurate, complete or up to date;
• Agri Funda will meet your specific requirements or expectations;
• AI outputs or content posted by other users are accurate or suitable for any particular purpose.

Nothing in Agri Funda constitutes veterinary, agronomic, legal, financial, tax, accounting, certification or compliance advice. You remain responsible for obtaining appropriate professional advice and for all decisions you make based on information obtained through Agri Funda.

16. Limitation of Liability

To the maximum extent permitted by applicable law, WeCommerce Pty Ltd and its directors, employees, contractors and partners will not be liable for:

• any indirect, incidental, special, consequential or punitive damages;
• any loss of profits, revenue, data, goodwill or business opportunities;
• any loss or damage arising from your reliance on content, AI outputs or information provided by other users;
• any loss or damage caused by unauthorised access to your account;
• any loss or damage arising from the acts or omissions of other users;
• any loss or damage arising from temporary unavailability, errors or interruptions to Agri Funda.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

17. Indemnity

You agree to indemnify and hold harmless WeCommerce Pty Ltd and its directors, employees, contractors and partners from and against any claims, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• your use of Agri Funda;
• your User Content;
• your breach of this Agreement;
• your violation of any applicable law or the rights of any third party.

18. Termination

WeCommerce Pty Ltd may suspend or terminate your access to Agri Funda at any time, without prior notice, if:

• you breach this Agreement;
• we are required to do so by law or a lawful authority;
• we reasonably believe that your account poses a risk to other users, third parties or WeCommerce Pty Ltd;
• your account has been inactive for an extended period;
• we discontinue Agri Funda or any part of it.

You may close your account at any time through your account settings or by contacting us at info@wecommerce.net.za. On account closure, your access to Agri Funda will end. We may retain certain information in line with our Privacy Policy, applicable law and our data-retention obligations.

Clauses that by their nature should survive termination — including intellectual property, content standards, limitation of liability, indemnity and governing law — will continue to apply after this Agreement ends.

19. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with this Agreement will be subject to the jurisdiction of the South African courts.

Before commencing any formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith through direct communication. If you have a complaint or dispute, please contact us first at info@wecommerce.net.za.

20. General

• Entire agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and WeCommerce Pty Ltd regarding your use of Agri Funda and supersedes any prior agreements or understandings.
• Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: A failure by WeCommerce Pty Ltd to enforce any provision of this Agreement does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights and obligations at any time, including in connection with a merger, acquisition or sale of assets.
• Language: This Agreement is written in English. If a translated version is provided, the English version shall prevail in the event of any conflict.
